The terms governing access to and use of the CommerceYard B2B website.

1. Website owner and contact

This website is operated by Commerceyard B.V., Nimrodstraat 13, 5042 WX Tilburg, the Netherlands, Chamber of Commerce number 42070789 and VAT number NL869573044B01. Contact us at wholesale@commerceyard.nl.

2. Scope of these terms

These terms apply only to access to and use of the website. They are not wholesale purchase, sale, supply, agency, or distribution terms. A commercial relationship with CommerceYard is governed only by a separately agreed written contract, accepted order or purchase order, and any terms applicable to it.

By using the website, you agree to these terms of use. Do not use the website if you do not agree.

3. Information only; no offer or partnership

The website provides general information about CommerceYard and possible B2B cooperation. Website content, examples, process descriptions, and statements about brands, channels, or geographic coverage are informational and do not constitute a binding offer, commitment, warranty, advice, or automatic acceptance as a partner.

A response to an inquiry, discussion, or exchange of information does not itself create a contract. A commercial relationship arises only through a separate written agreement or expressly accepted order.

4. Acceptable and prohibited use

  • Use the website only lawfully and in a way that does not harm its operation, security, or the rights of others.
  • You must not bypass security, test vulnerabilities without written permission, transmit malicious code, create excessive automated traffic, or attempt to access non-public areas.
  • You must not use the website for fraud, deception, harassment, infringement, unsolicited advertising, or other unlawful activity.
  • Automated collection, scraping, or republication of substantial website content is prohibited unless mandatory law permits it or we give prior written permission.

5. Your information and the contact form

You are responsible for the accuracy, lawfulness, and relevance of information you submit and confirm that you are authorized to provide it for the relevant business. Do not provide third-party information without a proper legal basis or authority.

The contact form is not a secure data room. Do not send passwords, payment data, special-category data, trade secrets, or other highly confidential information unless we have agreed an appropriate channel in writing beforehand.

We process personal data under our Privacy Policy. Submitting an inquiry does not permit us to exploit your material for unrelated purposes, but you allow us to use it to assess, answer, and explore possible cooperation.

6. Intellectual property

The website and CommerceYard-created text, design, software, trade names, logos, and other content are owned by Commerceyard B.V. or used with permission and are protected by intellectual-property rights. Third-party brands and materials remain the property of their respective owners.

You may view the website and make limited copies for internal business discussions about a possible CommerceYard relationship. Without prior written permission, you may not sell, license, modify, publish, systematically copy, or use content to imply endorsement or affiliation.

7. Accuracy and use of information

We aim to provide current and accurate information, but website content may be incomplete, outdated, or incorrect. You must independently verify information material to a business decision. No rights may be derived from website content except where mandatory law provides otherwise.

Stated availability, capabilities, channels, regions, or cooperation opportunities may change without notice and apply only once confirmed in a separate written agreement.

8. External links and third-party services

The website may refer to third-party sites, brands, platforms, or services. We do not control them and are not responsible for their content, availability, security, or privacy practices. A reference is not an endorsement unless expressly stated.

We use Vercel, Resend, Microsoft 365, and Odoo to operate our website and communications. Their own terms also apply to those services. Our handling of personal data is described in the Privacy Policy.

9. Availability and changes

We may change, restrict, suspend, or discontinue the website or any part of it. We do not guarantee uninterrupted or error-free availability and need not retain outdated content. Planned or necessary maintenance may occur without prior notice.

10. No website warranties

To the extent permitted by law, the website is provided on an as-available basis. We give no additional warranties about fitness for purpose, completeness, commercial results, or freedom from errors or harmful components. This does not restrict rights or warranties that mandatory law does not allow us to exclude.

11. Liability

To the extent permitted by law, Commerceyard B.V. is not liable for indirect or consequential loss, loss of profit or opportunity, data loss, or business interruption resulting from use of or reliance on the website. Any liability for direct loss caused by an attributable failure in providing the website is limited to the amount paid by our liability insurer for the event, plus the applicable deductible.

These limits do not apply to loss caused by intent or deliberate recklessness of Commerceyard B.V.'s management and do not limit liability that mandatory law does not permit us to limit. Liability for commercial transactions is governed only by the relevant separate agreement.

12. Governing law, courts, and language

Dutch law governs these website terms. Disputes will be submitted to the competent court in the Netherlands unless mandatory law requires another court.

The Dutch version is authoritative. Translations are provided for convenience. If interpretations differ, the Dutch text prevails to the extent permitted by law.

13. Severability and no waiver

If a provision is invalid or unenforceable, the remaining provisions continue in effect. Where possible, the invalid provision will be replaced by a valid provision closest to its purpose and intent. A failure to enforce a right immediately is not a waiver of that right.

14. Changes and contact

We may update these terms when the website, our activities, or the law changes. The current version and date appear on this page. Changes apply from the stated date and do not retroactively alter a separate commercial agreement.
